在主体公司之上，我们设置一个控股公司，而控股公司的上层是家族公司。主体公司下设子公司，而子公司负责管理各个项目和门店。

On top of the main company, we establish a holding company, and the upper level of the holding company is the family company. The main company has subsidiaries, which are responsible for managing various projects and stores.

主体公司，就是大家通常所说的母公司，母公司的上方必须设有控股公司。这个控股公司是股东们只控股但不参与运营的公司。它在主体公司和家族公司之间就起到了防火墙的作用，这就是大家所说的“防火墙公司”。上面的家族公司就是大家的钱袋子公司

The main company, commonly known as the parent company, must have a holding company above it. 在母公司下面，我们还需要再设立子公司来进行项目孵化，这就是实际进行运营、融资和上市的实体，负责项目的孵化。而在子公司之下，大家再设门店和项目，它们的目的是为了分红，比如门店经理、项目经理和管理层等。

Under the parent company, we also need to establish a subsidiary for project incubation, which is the entity responsible for actual operation, financing, and listing, and is responsible for project incubation. Under the subsidiary, everyone sets up stores and projects with the purpose of distributing dividends, such as store managers, project managers, and management.

大家可以发现，在每一层公司之间都存在防火墙作用，那母公司和子公司之间，为什么大家不要设分公司？而是要设子公司呢？因为子公司是独立法人。

You can see that there is a firewall function between each layer of companies, so why not set up branch offices between parent and subsidiary companies? But should we establish a subsidiary? Because the subsidiary is an independent legal entity.

外面很多老师会一直强调防火墙公司的重要性，但其实他们只是讲了个策略，一个概念。我们的真正目的是设计出这样的五层公司架构。

Many teachers outside will always emphasize the importance of firewall companies, but in fact, they only talked about a strategy and a concept. Our real goal is to design such a five tiered company architecture.
