1.谁出钱（资金股）谁出力（人力股/技术股）

将股权拆分为资金股和人力股两部分，先考虑股权设定，签好协议。

2.赚了钱怎么分红？

例如A（股权42%） 和B（股权58%）的合作开始一年就赚回了本金，但A几乎没参与公司管理，都是B每天运营管理，那B就会对 A42%的分红感到不满。

For example, if A (with 42% equity) and B (with 58% equity) start a year of cooperation and earn back the principal, but A hardly participates in company management and B operates and manages it every day, then B will be dissatisfied with the A42% dividend.

所以可以考虑这样分配：

a.回本前分红按之前股权分配分红，保证出资方利益
