约定股份的性质

员工股份的性质建议最开始最好是"在职分红股"也就是所谓的"身股"。该股份只具有分红权,不具有表决权、继承权等。员工在则股份在,员工离职,股份自动被公司无偿收回。

约定入股的期限

要约定好员工入股的期限(1年/2年/3年),入股期间公司可以根据员工的表现综合考虑要不要股份续签。不然员工以为股份是永久的,容易造成工作的懈怠。

约定好考核的指标

员工的股份分红必须与考核指标(业绩、绩效、产出等)挂钩,如果没有考核指标,员工会认为自己躺平什么都不做也会有分红拿,失去了股权激励的意义。

提前制定好考核标准,以标准制定股权动态调整机制,也就是"浮动分红",如果员工考核标准不达标,股份是可以调整或收回的。如果员工超额完成考核标准,则可以获得超额奖励。

要提前和员工说清楚,哪些是他作为股东之后应尽的义务,而哪些又是他作为股东应当享有的权利,哪些是公司的"高压线",是坚决不能触碰的点。养换句话讲就是玩游戏之前要把游戏规则讲清楚。
