股权激励对象的确定依据和范围

  本激励计划的激励对象范围为:董事会认定可以纳入本激励计划的外籍员工,合计5人。

  The scope of this incentive plan includes 5 foreign employees recognized by the board of directors as eligible for inclusion in this incentive plan.

  (一)计划对象确定的法律依据本股票增值权计划对象根据《公司法》《证券决》及其他有关法律、法规和规范性文件以及富邦股份《公司章程》的相关规定,结合公司实际情况而确定。

  (1) The legal basis for determining the target of the plan is based on the Company Law, Securities Decision, other relevant laws, regulations and normative documents, as well as the relevant provisions of the Articles of Association of Fubon Corporation, combined with the actual situation of the company.wx(1)(3)

  (二)计划对象确定的职务依据本计划涉及的计划对象为公司董事会认定的对公司经营业绩和来,来发展有直接影响的外籍管理人员、核心业务(技术)人员。

  (2) The positions determined for the planned targets are based on the foreign management personnel and core business (technical) personnel recognized by the company's board of directors as having a direct impact on the company's business performance and development.

  (三)计划对象的考核依据依据公司董事会通过的富邦股份《股票增值权激励计划考核管理办法》对计划对象进行考核,计划对象经考核合格后方具有获得授予本期股票增值权的资格。

  (3) The assessment criteria for the planned objects are based on the "Management Measures for the Assessment of Stock Appreciation Rights Incentive Plans" approved by the board of directors of Fubon Corporation. The planned objects are eligible for the grant of stock appreciation rights for the current period only after passing the assessment.

  (四)当本激励计划对象发生职务变更、离职、丧失劳动力、退休、死亡等情形,公司董事会可依据相关规定及本计划的有关规定对计划对象进行调整。

  (4) When the object of this incentive plan undergoes a change in position, resignation, loss of labor force, retirement, death, etc., the company's board of directors may adjust the plan object in accordance with relevant regulations and the relevant provisions of this plan.

  (五)计划对象的范围本计划涉及的计划对象共计5人,均为外籍管理人员、核心业务(技术)人员,所有计划对象必须在本计划的考核期内签署劳动合同或聘用合同。

  (5) The scope of the planned objects includes a total of 5 people, all of whom are foreign management personnel and core business (technical) personnel. All planned objects must sign labor contracts or employment contracts during the assessment period of this plan.
