合伙人退出机制要把握哪些原则?

创业早期确实不太容易找到牛人跟你一起,找到跟自己同量级的就不容易了。

因此,如果公司发展的很快,2年就到A轮、B轮、C轮了,这时你就会发现,跟你一起创业的创始人跟不上公司发展了。

公司长大了,优秀的人开始进来了,新人和创始团队之间就会形成井水和河水的分界线,往往容易发生两拨人之间的斗争。

这个时候就会有早期的创始人退出,如果是在股权成熟期之前退出,就一定要按照股权绑定的游戏规则来进行。

但这也会存在问题,如果离开的创始人在公司占的股权比较高,且公司后来做的比较大,就会造成全体创业者为这个不在位的合伙人打工的局面。
But there will also be problems. If the departing founder holds a relatively high equity stake in the company and the company later becomes larger, it will cause all entrepreneurs to work for this absent partner.
所以,如果你要做根本的股权调整,就要把他的股权适当的收回一部分,调整到一个比较合理的结构上。

如果你想处置的便利,一开始可以约定合伙人的股权由创始人代持,并且合伙人的股权成熟机制越长越好,这样也有利于团队的稳定性。
If you want to dispose of it conveniently, you can initially agree that the equity of the partners will be held by the founder, and the longer the mature mechanism of the partner's equity, the better, which is also conducive to the stability of the team.
任何股东或创始股东要退出的话,公司股东或其他合伙人有权以一个事先约定的价格收回股权,未成熟的肯定要收回,已经成熟的也要看怎么处置。

而创始合伙人不管谁离开,要对历史贡献有一个认可,但认可的方法是不一致的。这个需要事先说好,否则没法谈。尤其是当团队发生矛盾后,在中国非常绅士的离开是很少见的。

因此,合伙人之间最好签订一个《合伙人创业协议》(和投资协议,股权融资协议不同),以此来约定彼此之间的权利和义务关系。
