在现代公司治理中,股东和经理人利益不一致的一个重要表现是二者对待企业风险的态度有非常大的差异。一般来说,股东作为投资人,即便不偏好高风险项目,也属于风险中性者,会着重关注和倾向收益回报率高的投资项目,但经理人恰好相反,在传统的薪酬制度之下,他们不愿意选择股东偏好的可能带来高回报率的投资项目,而偏向于低风险的经营决策。因为高投资回报的项目往往是高风险的项目,风险越高失败率越高。选择了高风险项目获得丰厚回报,只能由股东独享,而一旦失败,经理人就要承担个人职业价值的损失。
In modern corporate governance, an important manifestation of the conflicting interests between shareholders and managers is the significant difference in their attitudes towards corporate risks. Generally speaking, shareholders, as investors, are risk neutral even if they do not prefer high-risk projects. They tend to focus on and prefer investment projects with high returns. However, managers, on the other hand, are the opposite. Under traditional compensation systems, they are unwilling to choose investment projects that may bring high returns and prefer low-risk business decisions. Because projects with high investment returns are often high-risk, the higher the risk, the higher the failure rate. Choosing high-risk projects to obtain substantial returns can only be enjoyed exclusively by shareholders, and once it fails, the manager will have to bear the loss of personal professional value.
股权激励理顺了股东与经理人及其他激励对象的利益关系,使得双方在利益上实现了很大程度的统一,激励对象有权分享剩余索取权时,能够分享高风险经营带来的高收益,也会站在股东的角度考虑问题,开始勇于挑战较高风险的项目。
