1.明确公司内部的几种角色

一开始公司有几种角色必须要清晰而明确,创始人、联合创始人、员工、外部投资人。
At the beginning, the company must have several clear and distinct roles, including founder, co-founder, employee, and external investor.
创始人和联合创始人必须要全职投入,谁兼职就不要考虑,这种骑墙行为是最没有担当的,创始人最重要的责任就是担当!
Founders and co founders must invest full-time, and whoever works part-time should not be considered. This kind of wall riding behavior is the least responsible, and the most important responsibility of founders is to take responsibility!
1.股权绑定
1. Equity binding
这也是投资机构带来的理念,比如我投了你之后,公司的创始人或联合创始人,在公司的股权要有一个绑定期,比如3年、4年或5年。
This is also the concept brought by investment institutions. For example, after I invest in you, the founder or co founder of the company should have a binding period for their equity in the company, such as 3, 4, or 5 years.
其实从投资人角度来讲,时间越长越好,一个项目从天使到上市,平均时间是7到8年,但创始人都希望绑定期越短越好,目前通常是3到5年的股权绑定。
In fact, from the perspective of investors, the longer the time, the better. The average time from angel to listing for a project is 7 to 8 years, but founders all hope that the shorter the binding period, the better. Currently, it is usually 3 to 5 years of equity binding.
从天使的角度讲,你只承诺工作3到5年,如果过了绑定期你走了,这公司谁来做?
From an angel's perspective, you only promise to work for 3 to 5 years. If you leave after the binding period, who will handle this company?
因此这个绑定期对CEO极其重要,任何一个创始公司,如果CEO走了,你根本就找不到人能够接替他,CEO一定是创业公司不可替代的资源,而企业的成败也都寄托在这个人身上。
Therefore, this binding period is extremely important for the CEO. In any startup company, if the CEO leaves, you cannot find anyone to replace him. The CEO must be an irreplaceable resource for the startup company, and the success or failure of the enterprise also depends on this person.
2.股权成熟
2. Mature equity
比如二股东在公司拥有20%的股权,绑定期4年,就是干满一年能落实5%,不满一年不算数,但有的股权成熟机制会细到按月,比如干满几个月落实多少。
For example, the second shareholder owns 20% of the equity in the company, with a binding period of 4 years, which means that 5% can be implemented after one year of work. If less than one year, it does not count. However, some mature equity mechanisms may be detailed to a monthly basis, such as how much can be implemented after several months of work.
